Job Description
The team currently seeks a Deputy Company Secretary to be based in the UK to support our UK and Middle Eastern businesses, boards and governance cycles. The candidate will be expected to sync with management and functional teams, organise governance cycles in support of the boards and the company secretary, and coordinate corporate housekeeping work for a portfolio of entities

Responsibilities:

• Preparing agendas, minutes, and reports for board and committee meetings
• Drafting, coordinating, reviewing and updating shareholder and director resolutions, memos, constitutional documents, powers of attorney and agreements and maintaining surrounding data and record keeping systems
• Working with Company Secretary EMEA and Corporate Legal EMEA team on policy development and application in the local context
• Working with corporate legal colleagues to coordinate document review and sign off processes for boards, guiding business/functional requesters

Requirements:

• Bachelor of Laws or similar legal qualification
• Experience in corporate housekeeping and secretariat board support
• Chartered Governance or similar qualification
• Experience of handling company house filings and corporate reporting calendars
